Business customers only
Naradox is offered only to organizations and natural persons acting for purposes relating to their trade, business, craft, or profession. It is not offered for consumer or personal use. A person who creates an account, accepts these terms, or purchases a subscription represents that the person is not acting as a consumer and is authorized to bind the customer organization.
No voluntary consumer withdrawal or cooling-off period applies under these business terms. Nothing in these terms limits a right that applicable mandatory law does not allow the parties to exclude.
Entitlement definitions
A "Software Entitlement" is the portal record that identifies the customer's Free, Professional, Enterprise, or customer-specific software package, term, licensed-user capacity, deployment rights, release access, and other applicable software limits.
Naradox Free is a time-limited evaluation Software Entitlement for one deployment, available once per customer organization and not renewable by the customer. Its term is stated in the portal when the entitlement is created. After it ends, continued use requires Professional or a separate written agreement.
A "Support Entitlement" is the separate portal record that identifies Optional Support coverage for one selected deployment and paid support term. A Support Entitlement does not grant, extend, or replace a Software Entitlement, licensed-user capacity, deployment validity, release access, or software and security updates. Optional Support is available only for a deployment covered by an active Professional subscription and follows the term of that subscription as described under Paid subscriptions, renewal, and cancellation. Best-effort support Requests for an active deployment that is not subject to a billing hold, and feature requests, remain available without a Support Entitlement as described below.
Service model
Naradox offers Naradox through the public website and customer portal. Naradox is self-hosted software: customers run it in their own environment, make their own rollout decisions, and verify already issued license material locally.
Available software packages, limits, and release access are defined by the active Software Entitlement or a separate written agreement. Support coverage is defined by a Support Entitlement or separate written agreement. Public pages may describe Free, Professional, Optional Support, Enterprise, or customer-specific packaging, but the applicable entitlement controls what a customer can use.
Software ownership
Naradox and its licensors or other rights holders retain all right, title, and interest in the Naradox software, source code, object code, documentation, release materials, updates, and related intellectual-property rights. The software is licensed, not sold. No ownership right is transferred merely because software, a license file, documentation, or another release artifact is delivered or made available.
Third-party components remain subject to their own notices and license terms. Those third-party terms control for the applicable component where they grant rights that differ from these terms.
Limited software license
Subject to these terms and an active Software Entitlement, Naradox grants the customer a limited, non-exclusive, non-transferable, and non-sublicensable right, for the Software Entitlement term, to install and use the software as delivered, including object code and any source-form components bundled for execution, together with accompanying documentation, solely for the Permitted Purpose defined below and only within the licensed deployment, user, instance, and package limits.
The customer may make a reasonable number of copies solely for backup and disaster-recovery purposes. Every permitted copy must retain the copyright, ownership, and other proprietary notices supplied with the software.
Permitted purpose and deployment
The "Permitted Purpose" is the customer's own internal firewall governance, rule and object management, monitoring, auditing, and related security administration using Naradox's documented functions, including internal evaluation and laboratory use of those functions. Use for any other purpose is prohibited unless expressly permitted by these terms or a separate written agreement signed by Naradox.
The customer may run its licensed deployment in its own on-premises environment or in a cloud environment controlled by the customer, solely for the Permitted Purpose. Using a third-party infrastructure provider for that internal deployment does not by itself constitute offering Naradox to third parties and grants that provider no independent right to use, offer, or commercialize Naradox.
Authorized personnel
The customer may give employees and external administrators access only where needed to install, administer, secure, or use the customer's own licensed deployment for the Permitted Purpose, under the customer's direction and within the license limits. The customer must inform them of the applicable use and confidentiality restrictions and take reasonable steps to ensure compliance. They receive no independent license or right to offer Naradox as their own SaaS, hosting, or managed service or to serve other organizations using the customer's license.
No third-party services
The license under these terms does not permit the customer to offer, host, operate, or make Naradox or its functionality available for third parties as Software as a Service (SaaS), a service bureau, managed service, hosted service, or managed security service provider (MSSP) offering. This prohibition applies whether the service is paid or free, standalone or bundled with other services, and whether third parties access Naradox directly or the customer uses Naradox on their behalf to manage their environments.
The customer must not rebrand or white-label Naradox, incorporate its software or source-form components into another product or service, or use them to develop or supply a competing or substitute product or service. A Software Entitlement, higher package tier, additional deployment allocation, or Support Entitlement does not grant any of these rights. Any exception requires a separate written agreement signed by Naradox that expressly identifies the permitted third-party service or other use.
License restrictions
Except to the extent expressly allowed above or in a separate written agreement, the customer must not, and must not enable another person to:
- copy the software or documentation other than permitted backup and disaster-recovery copies
- publish, disclose, distribute, make available, sell, rent, lease, sublicense, assign, or transfer the software, release artifacts, or license material outside the customer organization, except for the limited access expressly permitted under Authorized personnel and Permitted purpose and deployment
- modify, adapt, translate, or create derivative works from the software
- reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, non-public interfaces, or underlying implementation details
- bypass, disable, tamper with, or evade entitlement limits, signature checks, access controls, or other technical or licensing controls
- remove, obscure, or alter copyright, attribution, ownership, trademark, or other proprietary notices
- use the software outside the Permitted Purpose or provide any third-party service prohibited above
These restrictions do not apply to the extent that applicable mandatory law expressly permits an act despite a contractual restriction and that permission cannot lawfully be waived. They also do not restrict separately licensed third-party components beyond what their applicable licenses permit.
Protection of proprietary code and license material
The customer must use reasonable care to keep Naradox's non-public proprietary code and license material confidential and protect it against unauthorized copying, use, or disclosure. This confidentiality duty continues after expiry or termination only while the material remains confidential.
Copies containing Naradox's proprietary code or license material, including installation packages and container images, must be stored with access limited to persons authorized under these terms. The customer must not expose those copies through publicly accessible repositories, container registries, or unrestricted download links. Customer-controlled private cloud storage, internal distribution, and backup and disaster-recovery copies remain permitted within the license limits.
Confidentiality does not cover information that is public without a breach, already lawfully known or lawfully received without a confidentiality obligation, or independently developed without using Naradox's confidential material. Nothing in this section restricts disclosures required or protected by law, non-waivable legal rights, or rights under third-party component licenses. These terms do not prohibit independent development without copying Naradox's proprietary code or using its confidential material.
Reporting unauthorized copying or use
If the customer becomes aware of unauthorized copying, use, or disclosure of Naradox software or license material under its control, it must notify Naradox as soon as reasonably practicable through the portal or support@naradox.com and take reasonable steps to limit further unauthorized use or disclosure.
A brief description is sufficient for the initial report; it should omit credentials, license files or strings, firewall configurations, and other sensitive customer data. This duty does not require continuous monitoring, automated reporting, remote access to the customer's systems, or an internet connection from the self-hosted deployment. Mandatory legal restrictions, protected disclosures, and rights under third-party component licenses remain unaffected.
Expiration and termination
When a Software Entitlement expires or is terminated, the licensed operational use ends. Until an active Software Entitlement is restored or replaced, the customer may use only the limited recovery, read-only, export, update, security-access, and license-replacement functions that Naradox intentionally keeps available for that state. Expiration does not create a right to continue ordinary licensed operations.
For a paid subscription, the software may keep ordinary operational functions available for up to fourteen days after the signed expiry date so that renewed license material can be imported. That grace period grants no Software Entitlement, does not extend a paid term, ends automatically, and does not apply to Free.
The customer must stop all other use and, if Naradox requests it or the applicable written agreement requires it, delete or return copies that the customer is no longer entitled to retain, except for records or archival copies that applicable law requires.
Separate written agreements
If a separate written agreement signed by Naradox expressly governs the software or service, that agreement controls only to the extent of a direct conflict with these terms. A purchase order or other customer-provided boilerplate does not change these terms unless Naradox expressly agrees to that change in writing.
Accounts and portal access
Customers are responsible for portal credentials, invited users, MFA, and use of the portal through authorized accounts only. Suspected misuse, compromise, or unauthorized access should be reported promptly.
Downloads, licenses, and entitlements
Downloads, checksums, signatures, SBOMs, release notes, license files, and copyable license strings are provided through the authenticated customer portal.
- access to release material depends on account status, accepted terms, and active Software Entitlement state
- issued licenses and release access may be updated, replaced, limited, suspended, or withdrawn to protect the service, correct mistakes, or enforce these terms
- customers are responsible for verifying downloaded artifacts before use
Access and packaging
Self-serve access is intended for evaluation, proof-of-concept work, labs, and smaller internal rollouts unless a broader entitlement or agreement applies.
- package limits remain part of the issued Software Entitlement and can change only through a new issued license or written agreement
- Naradox may update packaging, limits, release availability, and portal flows over time
- access can be limited, suspended, or ended if the account is abusive, compromised, inactive, outside the intended scope, or violates these terms
Paid subscriptions, renewal, and cancellation
Professional and Optional Support are each annual business subscriptions. Each paid subscription automatically renews for successive one-year terms until it is cancelled or, for Optional Support, ends with Professional as described below. The customer may cancel through the published billing-management route before renewal; cancellation takes effect at the end of the current paid term, and access or coverage continues through that term subject to these terms and payment status.
Optional Support can be purchased only for a deployment covered by an active Professional subscription that is not set to end. The first Optional Support term runs from purchase until the next renewal date of that Professional subscription, and the annual Optional Support price is charged pro rata for that first term, as calculated at payment. After that, Optional Support renews for one-year terms on the same date as Professional until it is cancelled.
When Professional is set to end at the end of its current term, Optional Support is set to end on the same date. If the Professional cancellation is withdrawn before it takes effect, Optional Support continues as well, unless the customer cancelled Optional Support separately. The customer may cancel Optional Support on its own, effective at the end of its current term; that does not change Professional. If Professional ends before the end of its paid term, Optional Support does not renew and ends at the end of its current paid term.
Prices, included use, and plan scope remain fixed during the current paid term. Naradox may change a price or plan scope for a later renewal term by giving at least 60 days' written notice. The customer may cancel the affected subscription before that renewal.
Fees, changes, and refunds
Annual subscription fees are billed and payable in advance and are stated exclusive of VAT and other applicable taxes. The shorter first Optional Support term is charged pro rata, as described under Paid subscriptions, renewal, and cancellation. Professional licensed-user additions are charged on a prorated basis for the rest of the current Professional term. An authenticated customer owner or billing administrator can schedule a lower Professional licensed-user total through Naradox Billing. If the customer has one active accessible Professional deployment allocation above the selected total, Naradox automatically reduces that allocation when the change takes effect. If several active deployment allocations together exceed the selected total, the customer must reduce or redistribute them before scheduling so that Naradox does not choose the allocation distribution. The reduction takes effect at the next annual renewal after the portal confirms the schedule and does not create a mid-term credit. Cancelling Professional ends the Software Entitlement at the end of the current paid term. A lower licensed-user total below the published Professional minimum is not available. There is no return to a Free allowance after a paid term.
After an applicable paid term starts and Naradox has made the Professional license material or Optional Support coverage available, the fee for that term, including a pro-rata first Optional Support term, is not refundable or creditable on a pro-rata basis because of cancellation, the end of Professional, reduced or unused access, a licensed-user reduction, or a decision not to use the subscription. This rule does not limit a refund or credit required by mandatory law, correction of a duplicate or incorrect charge, or a remedy that Naradox expressly agrees in writing for a material failure.
Apart from the end of Optional Support with Professional described above, a refund, credit, cancellation, or other remedy for one paid subscription does not automatically apply to the other subscription unless Naradox expressly agrees otherwise in writing.
While a full refund request or payment dispute is still under review, Naradox may temporarily suspend new license material, licensed-user increases, or Optional Support coverage for only the affected subscription. If Stripe reports that the full payment for a paid term has been refunded, or that a payment dispute for that term was definitively lost, the corresponding Software Entitlement or Support Entitlement terminates. A completed partial refund does not by itself terminate the remaining entitlement unless Naradox expressly agrees otherwise in writing.
Because Naradox validates issued license material offline, a refund or payment dispute cannot remotely delete or shorten a license that the customer already imported. Termination nevertheless ends the customer's contractual right to continue ordinary licensed use; the customer must stop that use in accordance with the Expiration and termination section. Restoring a subscription after a completed full refund or definitively lost dispute requires a new paid subscription or Naradox's express written confirmation.
Support
Support is handled through the portal unless another written process is agreed.
- support covers product questions, download issues, license issues, installation guidance, upgrade guidance, and troubleshooting based on information shared by the customer
- support is advisory and does not make Naradox the operator of the customer environment
- best-effort support Requests for an active deployment that is not subject to a billing hold remain included without a guaranteed response or resolution time
- feature requests can be submitted through the portal without an implementation or scheduling commitment
- Optional Support is a separate Support Entitlement for one selected deployment and targets a first substantive response in 1-2 business days; the target is not an SLA, and resolution time is not guaranteed
- any other response or resolution target applies only when included in a Support Entitlement or separate written agreement
- customers remain responsible for whether, when, and how any recommendation is applied
Customer responsibility
Customers remain responsible for installation, configuration, backups, rollback planning, firewall changes, identity integrations, approvals, change windows, and production use.
- test potentially disruptive changes before production where feasible
- do not treat Naradox as an unmanaged autopilot for sensitive environments
- support guidance, release notes, and documentation do not replace customer review and approval controls
Warranty and availability
To the maximum extent permitted by law, the site, portal, software, support content, and issued materials are provided on an "as is" and "as available" basis. Naradox does not promise uninterrupted operation, error-free behavior, suitability for every environment, or prevention of outages, misconfiguration, security incidents, or third-party side effects.
Limitation of liability
To the maximum extent permitted by law, Naradox is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the site, portal, software, or support.
- that includes loss of revenue, loss of data, business interruption, security incidents, or failed rollouts
- that also includes outages, deletions, or misconfiguration of customer or third-party systems such as firewalls
- any direct aggregate liability is limited to the fees paid for the relevant service in the 12 months before the claim; for unpaid access, that amount may be zero
Acceptable use and suspension
The public site and portal must not be used for credential attacks, scraping abuse, malicious uploads, interference, unlawful activity, or access outside the customer organization. Abusive, compromised, or policy-violating accounts may be suspended.
Mandatory carve-out
Nothing in these public terms excludes liability that cannot be excluded or limited under applicable law. Customer-specific contracts can add detail, but should not be assumed to remove these baseline allocations unless they do so explicitly in writing.
